Terms of Service

1. Acceptance of Terms

By accessing or using VOLT (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and LEXYLON (ABN 81 834 713 796), a sole trader operating under the laws of Australia ("we", "us", "our").

2. Definitions

  • "VOLT" — the macOS application, the iPhone companion application, and associated cloud services provided by LEXYLON.
  • "Service" — all features, functionality, and content provided through VOLT.
  • "User" — any individual or entity that accesses or uses the Service.
  • "API Key" — authentication credentials issued by third-party AI providers (e.g., OpenAI, Anthropic, Google) that you configure within VOLT.
  • "Usage Data" — anonymised metadata such as provider names, token counts, cost aggregates, and timestamps.
  • "Mac App" — the VOLT macOS application. All paid plans described in these Terms relate to the Mac App.
  • "iPhone App" — the VOLT iPhone companion application. The iPhone App is free and contains no in-app purchases.
  • "Apple Account" — the Apple ID and associated payment method you use to purchase a subscription through the App Store.
  • "App Store Plans" — the Individual and Studio subscription plans for the Mac App, which are sold exclusively through Apple In-App Purchase.
  • "Enterprise Plan" — a Mac App plan agreed under a separate written contract and invoiced directly by LEXYLON. Enterprise Plans are not sold through Apple.

3. Eligibility & Account

You must be at least 18 years of age to use the Service. By creating an account, you represent that the information you provide is accurate and complete.

You are responsible for maintaining the security of your account credentials and for all activities conducted under your account. Notify us immediately at support@volt.lexylon.com if you suspect unauthorised access.

4. The Service

VOLT is a native macOS application, with a free iPhone companion app, that enables users to monitor, track, and manage their AI API spending across multiple providers including OpenAI, Anthropic, Google, and others.

Key features include real-time cost tracking, budget alerts, usage analytics, generation of invoices for your own AI expenses, and multi-provider dashboards. The Service may be updated, modified, or discontinued at our discretion with reasonable notice.

5. API Key Usage

Privacy Guarantee

Your API keys are stored exclusively in macOS Keychain on your device. VOLT never transmits, stores, or has access to your API keys. They remain entirely under your control.

You are solely responsible for the security and validity of your API keys. VOLT uses these keys locally to query provider APIs for usage data. You must comply with each provider's terms of service regarding API key usage.

6. Data & Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms.

Where enabled, VOLT syncs only anonymised usage metadata (provider names, token counts, cost aggregates, timestamps) to iCloud for cross-device access. No API keys, request content, prompts, or generated output is ever transmitted.

7. Subscription & Payments (Mac App)

Scope of this section: everything below applies to the VOLT Mac App only. The VOLT iPhone app is free and contains no in-app purchases, no subscriptions, and no paid upgrades.

App Store Plans are paid through Apple

Individual and Studio plans for the Mac App are purchased through Apple In-App Purchase, and LEXYLON never sees the payment details used. Enterprise plans for the Mac App are invoiced directly by LEXYLON and are not sold through Apple — the clauses below identify which path applies.

  • Free Trial — App Store Plans include a 7-day free trial for new users. No payment is taken during the trial, though a valid payment method on your Apple Account is required to start it. Unless cancelled at least 24 hours before the trial ends, the subscription converts to a paid plan automatically. Enterprise trials and pilots, if any, are agreed in writing.
  • Paid Plans — After the trial ends, the Mac App's paid features require an active subscription. For App Store Plans, plan details and pricing are shown in the Mac App and on our website, and are displayed in your local currency by Apple at the point of purchase. Enterprise pricing is set out in your written agreement.
  • Billing (App Store Plans) — Individual and Studio subscriptions are purchased and billed through Apple In-App Purchase, charged to the payment method on your Apple Account. LEXYLON never receives, processes, or stores the payment details used for those purchases.
  • Billing (Enterprise) — Enterprise plans for the Mac App are invoiced directly by LEXYLON under a separate written agreement, on the payment terms recorded in that agreement. Billing and remittance information you provide for this purpose is handled by us in accordance with our Privacy Policy. Apple is not a party to Enterprise agreements.
  • Renewals — App Store Plans auto-renew through your Apple Account unless cancelled at least 24 hours before the end of the current period. You can manage or cancel anytime in App Store → Account → Subscriptions on Mac. Enterprise renewals are governed by your written agreement.
  • Price Changes — If we change pricing for an App Store Plan, Apple will notify you and, where required, seek your consent before the new price takes effect; you may cancel before renewal if you do not accept the change. Enterprise pricing changes are governed by your written agreement.
  • Refunds — For App Store Plans, purchases are processed by Apple, so refund requests are made through Apple and are determined under Apple's policies. Enterprise refunds are handled directly by LEXYLON under your written agreement. Nothing in this clause limits your rights under the Australian Consumer Law.

8. Intellectual Property

All intellectual property rights in VOLT — including the software, design, branding, and documentation — are owned by LEXYLON. Your subscription grants a limited, non-exclusive, non-transferable licence to use the Service.

You retain ownership of your data, including any usage data and reports generated through the Service. We claim no ownership over your content.

9. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Circumvent any security measures or access controls
  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Distribute, sublicence, or resell the Service without prior written consent
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Service

10. Limitation of Liability

Australian Consumer Law Notice: Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

To the maximum extent permitted by law, LEXYLON shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount paid for the Service in the twelve (12) months preceding the claim, whether paid to LEXYLON directly or to Apple in respect of your subscription.

11. Indemnification

You agree to indemnify, defend, and hold harmless LEXYLON from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights of a third party.

12. Termination

  • By You (App Store Plans) — You may cancel at any time through App Store → Account → Subscriptions on Mac. Cancellation takes effect at the end of the current billing period; access continues until then. To close your account entirely, contact us at support@volt.lexylon.com.
  • By You (Enterprise) — Termination and notice periods are governed by your written agreement. Contact us at support@volt.lexylon.com to begin the process.
  • By You (iPhone App) — The iPhone app is free; simply delete it from your device. There is nothing to cancel.
  • By Us — We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice where practicable.
  • Effect — Upon termination, your licence to use the Service ceases. Your locally stored data remains on your device. Cloud-synced data will be deleted within 30 days of account closure.

13. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-app notification.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with any changes, you should discontinue use of the Service.

14. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.

If you are an international user, you acknowledge that you are accessing the Service from outside Australia and agree to comply with all applicable local laws. Nothing in these Terms limits any rights you may have under the consumer protection laws of your jurisdiction.
